Corporate governance of a company means the general principles that are used for running the 
business and taking the fair decisions in favour of stakeholders. It makes the decision and operations 
of the company fair and transparent for everyone whether it is managers, employees, customers, 
investors or society. The market image of the company is associated with these principles and it 
influences the share price of the company in the market. In short, these principles are not only 
important but necessary also because it enhances the understanding and clear the difference between 
the personal and corporate funds while managing the company (Lisa Mary Thomson, 2009).  
As according to a recent article, it is observed that how important is to appoint an independent 
director for the company in the context of corporate governance. But he must have freedom to work 
independently, in favour of company. He must have authority and power to ask tough questions and to 
take tough decisions (T T Ram Mohan (2013). SEBI also proposed its guideline in context of 
corporate governance which also focused on appointment and tenure of independent director.  
This article defines the importance of corporate governance.
